碩士 === 逢甲大學 === 商學專業碩士在職學位學程 === 107 === Many international experts believe that the independent director system can strengthen the independence and professionalism of the board of directors, so that the functions of the board of directors can be properly played, which is the core of corporate governance. However, since 2002, Taiwan has introduced the independent director system in the legislative provisions, and forced the new listing company to set up independent directors. The competent authority hopes to strengthen corporate governance through a step-by-step approach, thereby enhancing corporate value and increasing international competitiveness. This study used the sample of food industry stocks listed in Taiwan and listed in 2012 to 2017 to explore the impact of the characteristics of independent directors on the companys operating performance. The SPSS regression model was used for verification. The empirical results show that: First, the more seats of independent directors, the positive correlation between the companys return on assets, return on shareholders equity and earnings per share. Second, the more seats of female independent directors, the negative correlation between the companys return on assets and the return on shareholders equity. Third, the more independent directors with a mater’s degree or above, the more negatively correlated the companys return on assets, return on equity, and earnings per share. Fourth, the more seats an independent director has in the background of financial / accounting, there is a positive correlation with the companys earnings per share.
