At the same time, intellectual property rights have played important roles in this competition and have become the weapon for high-tech companies and groups to expand their territory. High-tech companies begin to ponder how to quickly enter the battlefield and gain the first chance to access intellectual property. Moreover, since cross-border mergers and acquisitions triggered by global competition and the trend of mergers and acquisitions of high-tech industries are gradually flourishing, high-tech companies have begun to adopt strategies to maximize the value of the enterprise by taking plans of obtaining intellectual property as M & A strategies. During M & A, how to evaluate the target companys corporate value is often the key to decide whether the M & A is successful or not. Particularly, intellectual property that has a significant impact on the operation of an enterprise will greatly impact the future operation of an enterprise. Therefore, speaking of the case of high-tech mergers and acquisitions, how to make a correct assessment of the value of the target companys intellectual property through the appraisal and strategic analysis of the intellectual property, as well as the planning of the risks and management before and after the merger are also important issues. For high-tech companies, the need for M & A and restructuring has come into being, both of which are accelerating the consolidation of eliminating the weaker and keeping the stronger. Meanwhile, they should carefully considerate how to operate and cultivate the intellectual property acquired through mergers and acquisitions so as to help build and strengthen the skills and abilities of the organizations to further improve the irrational phenomena and redesign the organizational structures, systems and operational measures. At this point, environmental turmoil and technological breakthrough will cause the increase of failure rate of the organization, thus carrying out a fundamental strategy is needed to successfully respond the new reforms. Therefore, this thesis systematically sorts out and discusses the issues of strategic analysis of intellectual property rights involved in M & A and types of reorganization. The thesis takes the Google acquisition - "Google Acquires Motorola Mobility" and the subsequent restructuring of the relevant issues as the main body of the study and concludes the findings as the theoretical basis for M & A and organizational restructuring, hoping to provide clearer views for future corporate mergers and acquisitions and organizational restructuring.
