Summary: | 碩士 === 國立雲林科技大學 === 會計系 === 105 === The purpose of this paper is to investigate the association of Directors' and Officers' (D&O) Liability Insurance and the internationalization of corporate in Taiwan. The data set of this empirical study are public listed companies with Directors' and Officers' liability insurance information on Market Observation Post System (MOPS) required by Financial Supervisory Commission (FSC) from 2008 and 2015. Based on the empirical results show the internationalization of corporate is positively associated with the Directors' and Officers' liability insurance coverage. For firms, the decision for Directors' and Officers' insurance coverage is highly related to its business risk. The complexities of internationalization play an important role in operation risk issues. The finding of this study indicate that the corporate try to expand their company all over the world, they should buy Directors' and Officers' liability insurance to strengthen corporate governance, to protect investors and to lower the risks of loss. The first implication of this study shows that the more complexity of internationalization with the more operation risk, so the Directors' and Officers' liability insurance are more required. The second indicate that the corporate can strengthen corporate governance to reduce business fraud and elevate the business enterprise goodwill.
