Summary:碩士 === 國立清華大學 === 高階經營管理碩士在職專班 === 105 === There should be a sound governance mechanism in the business management. In this way, it will be able to guarantee the right of the shareholders themselves. In turn, there will be opportunities for the business to undergo sustainable development. Business leaders must not only meet corporate governance requirements related to specification and legislation, but also improve corporate governance so as to create business values and to achieve the purpose of profit and corruption prevention. It is crucial for business leaders to have their own consciousness and philosophy and adhere to the determination to the end in the sound corporate governance. The development of internal control mechanism is inseparable from corporate governance activities. The optimization of corporate governance is also inseparable from effective internal risk management as a guarantee. We believe that internal control is high-level managers’ response of corporate risk. Corporate governance guidelines for internal control and internal audit should make clear provisions. The corporate governance goal, the internal control mechanism and the environment are changing as well se the danger being faced. A sound internal control relies on a comprehensive assessment of the nature and extent of the risks faced by the company. Because profit itself is the return of successful business adventure, the purpose of internal control is to help the correct management and the control of risks rather than reducing them.
