Grassroots civil servants should grasp the separation and compliance with the code of conduct. This study was designed to grassroots civil servant’s administrative ethical dilemmas, incentive systems and willingness to stay in the Changhua Township City Office. Total of 300 questionnaires were conducted through the use self administered questionnaire to respondents and 295 questionnaires were viewed as valid for the analysis process. The descriptive statistics, factor analysis, reliability analysis, correlation analysis, t-test, ANOVA and regression analysis were used in the study. The research findings are as follows: 1. The perception and willingness is significantly related to incentive systems. 2. The administrative ethical dilemmas, incentive systems perception & willingness to retention have a significant relationship on the retention intention.
