However, most of them focus on the internal situation of individual or organizational. This research proposes a new approach to analyze the content from the knowledge transferring perspective. The main reason is that we want to explore which factors affecting knowledge transfer between external consultants and second generation of entrepreneurs on succession issues, the study tries to compensate for the past literatures. Design/methodology/approach: The study used case study method, "The Private Tutorage of Winning Succession" is a consulting company which used SMEs succession issues as established goal. The study conducted in-depth interview with three senior professional consultants to discuss the characteristics of business succession cases. Findings: The study found that human resources and organizational reconstruction of knowledge transfer have been influenced by the knowledge background of the receiver, however, but not absolutely. On the other hand, the receiver’s motivation is the most important factor in this case. However, the consultants adopted the strategies "deeply involved in the project" and "customized services" to construct the mutual cooperation relationship.
