| Summary: | 碩士 === 南臺科技大學 === 工業管理研究所 === 104 === The ICT industry plays an important role in Taiwanese economic and industrial developments. The misconduct of these firms could lead to serious social and economic impacts. The role of corporate governance has been recognized one of the solutions for avoiding corporate misconduct. Based on a sample of ICT firms in Taiwan in the period of 2003~2014, this study found that a large board size, the duality of CEO and board chair positions, higher levels of institutional ownership, board ownership and executive ownership can hinder the possibility of corporate misconduct.
