碩士 === 大葉大學 === 管理學院碩士在職專班 === 103 === This study investigated the relationships between company characteristics, ownership structure and director compensation. We collected the corporate governance and financial data of all listed companies from year 2011 to 2013 to analyze above-mentioned relationships. The empirical results show that: (1) The higher the company's performance, the higher the director compensation. (2) The company size is positively correlated with the director compensation. (3) The firm growth opportunities is positively related to director compensation. (4) Higher institutional investor ratio drives higher director compensation (5) The director shareholding ratio is negatively related to director compensation. (6) The larger control right deviation from cash flow right cause the higher director compensation. Our findings contribute to the literature of director compensation and could be the reference of compensation decision makers.
