碩士 === 國立中正大學 === 會計資訊與法律數位學習碩士在職專班 === 103 === To encourage its enterprises “going outward,” the Chinese government establishes a series of policies and regulations, from the severe control to gradually open, establishing a structure of Outward Foreign Direct Investment. Although China possesses enough scale and superiority to merge and acquire foreign enterprises on the impacts of global financial crisis, which also impel many countries adopt protecting policies. Particularly, Chinese foreign investments are mainly directed by nationalized industry, in which the government provides policy and financial support. This condition distresses the trust of foreign countries about Chinese foreign investment. They propose the aim of China’s investment to not be simple finical reason, but a political one. They even consider the foreign investment of its national enterprise as the act of government. That is through strategic merger and acquisition to reinforce China’s political and financial power. For protecting the national industries and security, many countries establish strict national security review for foreign investment policies. Concerning this condition, Chinese government and enterprises vigorously find means to prevent obstruction during outward foreign direct investment. Although the government of Republic of China intends to improve the two-sided trade development, which has for a long time been unevenly by one-sided investment from Taiwanese traders. The R.O.C. government has opened Chinese capital to invest in Taiwan since the June of 2009, but the effect is not as expectation. It’s policy should be the crux. Through examining the policies of China’s Outward Foreign Direct Investment and its Foreign Investment Review Mechanism, this thesis intend to review the current policies of Republic of China towards Foreign Investment Review Mechanism and Chinese Capital to Invest in Taiwan. The major discussion include: the appropriation the discrepancies of Review Mechanism between Foreign and Chinese Investment; the appropriation of Review and Supervising Mechanism of Chinese Capital to Invest in Taiwan; and impact of current policies towards the defensive mechanism in National security and finical security of Taiwan.
