Summary: | 碩士 === 國立中興大學 === 會計學研究所 === 102 === As an essential element of corporate governance, information disclosure does not only play an important part for both operating performance and stockholders’ confidence, but also influence management’s earnings management behavior. The main purpose of this research is to examine the impact of information transparency on the possibilities of financial reporting restatement, and furthermore, to examine the moderating effects of CPA firm size, industrial competition and product diversification. Empirical results show that companies with higher information transparency ratings are less likely to restate their financial statements, and vice versa. In addition, CPA firm size and product diversification are proved to be negative moderators between information transparency and financial restatement, which means they have positive influences on corporate governance. However, there is no evidence that industrial competition is an effective moderator. Findings of this study make incremental contributions to the existing documents in studies of the relationship between corporate governance and financial reporting restatement, and also show that the rating of SFI information disclosure evaluation system can be considered as an effective indicator of corporate governance.
