Summary:碩士 === 國立臺灣科技大學 === 財務金融研究所 === 101 === When publicly traded company has governance problems and crisis, investor's money will always become the bubble and the loss is very enormous, the famous scandal cases in foreign like Enron, WorldCom, Tyco, Arthur Andersen, etc. In recent years, Taiwan capital markets has developed, but cases of hollowing out company assets, fraud and false financial statements still happen in listed companies. In this study, we take an example of a company's verdict and analyze the judgment exposition, explore the direction of the attorney's investigation of the company's malpractice under the corporate governance mechanisms, while understanding whether the judge's judgment has deviated from the rule of thumb of financial practitioners in the field. In this study, actual interviews with the special assistant of the Chairman and Chief Financial Officer of this case were conducted to gain further understanding. Through analysis and investigation over the case, we gain further understanding of the case and situation, the lack of relevant domestic laws and different point of views of different individuals towards corporate governance, this case can be used as a reference and direction of corporate governance of listed companies, and future related research.
