| Summary: | 碩士 === 東海大學 === 管理碩士學程在職進修專班 === 94 === Corporate governance is one of the hottest topics nowadays. Banks become stronger by merging with other banks. A well-managed banking industry does affect the stability of a society. With the improvement of corporate governance, we hope to strengthen the management of the banking industry.
The thesis uses benchmark companies as examples to help us recognize their success, and learn from their mistakes. It also references the corporate governance experiences from the companies in US, Japan, and Europe. By means of CAMEL to obtain the results, we hope to get an idea to improve the corporate governance of the banking in Taiwan.
With the induction and analysis from this thesis, the old myths should be abandoned. We recommend that the outside directors and outside supervisors shall need to effectively manage both quality and quantity, so that a company can survive the competitions; that corporate governance shall need the participation of each and every employees in the company, and that the morality of the CEO shall be the ultimate criteria. We hope that the thesis helps the companies manage better and more effectively.
