Usually, the administrative goals of government authorities and the profits of contractors are achieved through constitution and fulfillment of contracts. Therefore, the terms and conditions of a contract are very important to both parties of the contract or even to the general public. This study focuses on the contracts of outsourcing cases for which the government appoints contractors to operate and manage its facilities without paying any money to contractors, and to which the Government Procurement Act is applied. It also discusses the essential requirements and terms and condition that should be included in a contract. It is hoped that the study may discover the existing problems and establishes standarized terms and conditions of a contract for reference. First, this study probes into the basic meaning of government business outsourcing, relevant theories and existing management practices of government, and then induces and analyzes the essential requirements and contents of the outsourcing contracts collected. In addition to finding of potential problems one by one in terms of theory and practice, contract review and correction were also carried out through interviews in order to draw a conclusion from the induction of essential requirements, terms and conditions of particular outsourcing contract, and propose several suggestions in practical operation to the government for its reference.
