Such as the business environment is changing rapidly, the quality for consumer’s demand is raised, the out-of-date technique ratio is increasing, and the product life circle is also shortened. As the result, the R&D outsourcing activity is gradually developed, because many enterprises begin to deliberate about the resource management strategy of R&D activities to accelerate new product development, reduce R&D cost, and improve quality. Many operations outsource their R&D activity to professional manufacturers, and then they can more concentrate on their core capability. Recently, there are many researches that support firms to outsource their R&D activity. However, R&D is the activity which is complex and own high risk. It also involves a company’s know how as well as intelligent capital. So how to receive the benefit of external resource and to control the appropriate risk to accomplish the strategic purpose of R&D outsourcing are more practical and critical issues. Most related researches are to find the decision factor of make-or-by of R&D, the driving factor of R&D outsourcing, and cooperative partnership decision. But that is lack of exploring the process of R&D outsourcing. Therefore, to complement the lack is the research basis for the study. This study bases on resource-based theory, social capital and transactional cost theory to analyze the strategic motive and cooperative concept of R&D outsourcing. And the researcher also bases on the process concept of activity implement to construct the issues about outsourcing process. Furthermore, through the interview and observations with firms, among different strategic and cooperative motives, the study can clearly analyze the concrete operation contents to the outsourcing process and key issues, such as partnership choice, steps in R&D, standard negotiation for technique, evaluative standard, cooperative activity and method, communication management, patent management, partner relationship management, contract type, employee deployment, and cost. The study engages in the case study with traditional manufacturing industry, electrical industry, and medical industry. The researcher finds that there are different implement methods of the choosing condition to partners, development process, technique negotiation, and contract type among different outsourcing motive and cooperative concept. Then the researcher finally provides three kinds of R&D outsourcing model – the development of application platform, design of innovative market, and service of material technique. The development of application platform is one of the concepts of strategic alliance and it focuses on the integration of complementary resource to develop the technique of commercial application. The design of innovative market is made from the concept of commensal relationship and it emphases on the trust to make bilateral profits. The service of material technique is established on the concept of dependent relationship and it purport to establish a long term cooperative situation by customization service. The result of the study can be a reference for companies which have different outsourcing purposes and for R&D service provider who want to develop its service model.
