Through the roles played by managers at all levels and the process of managing strategy-making,we can understand the operational policy and describe the process model for managing strategy-making.That is the main purpose of this study.   Combining the concepts of Resource-Based theory and Transaction-Cost theory,this study has defined the two periods of the C company’s managing strategy which are separated by the granting of permission to construct large-scale infrastructure.In the first period,the market is in a chaotic and very complex state; C company made clear its organizational position、managing–system establishment and perfect-engineering planning in response to the outside environment. The policy clearly shows the good performance of the first-period policy from a phase of Complexity into a phase of Order:To maintain internal security in the first instance and to repel foreign invasion in the second.It conceptualized relationships within the managing strategy model for all periods.From this model,it is clear that it was the combination of the intention to merge at a high level and planning/executing in managing/engineering at middle/low levels which lead the company from losses to profits.   The establishment of the C company’s managing strategy process model-the subject of this stndy-has proved that the Bower-Burgelman process model is still effective when applied to medium-scale companies in the conceptual management decision- making process.
