There are a lot of literatures and academic surveys about M&A, but they usually stress on financial performance. The study attempts to explore possible ethical issues of M&A through literature review and deep interviews. This potential considerations of ethics comparatively influences job performance of employees and corporate performance after M&A. Though ethical issues of M&A extensively involve in many aspects, the study focuses on two aspects─viz. employee performance and corporate performance while considering the experimental operation.The study delivers questionnaires to employees and corporations after M&A in the last three years. Consequently, there are 287 effective copies of questionnaire of employees and 76 copies of corporations. According to confirmatory factor analysis, the study obtains three dimensions of employees─viz. ‘protection of work rights’, ‘respect and justice’, and ‘humanizational integration’ and four dimensions of corporations─viz. ‘hubris hypothesis’, ‘improper defense’, ‘cultural integration’ and ‘agency problem’. According to stepwise regression analysis, the study finds that ethical issues of M&A concerning employees are significantly correlated with the job performance of employees after M&A. Factors of ‘protection of work rights’ and ‘respect and justice’ are positively correlated with organizational commitment after M&A. Moreover, concerning corporations, factors of ‘hubris hypothesis’, ‘improper defense’, and ‘agency problem’ are significantly correlated with corporate performance after M&A. Consequently; the study provides certain ethical issues in business merger and acquisition to promote job performance of employees and corporate performance.
