碩士 === 文化大學 === 會計研究所 === 86 === Since 1980s, the financial liberalization and internationalization has produced wide repercussions on the financial market and resulted not only in the birth of a large variety of brand-new financial commodities (such as Future, Option, and Swaps contract), but also in the gradual importance of Risk Management of financial transaction. However, with the rising tide of the creative finance, there widely spreads a shocking report that an international well-known enterprise is negatively influenced by Derivatives. Internationally, the phenomenon immediately arouses serious concern of financial managers and investors. This research is an introduction to Master Agreements which is prescribed by ISDA, in order to offer a method to those who engage in financial affairs. Besides, we want to prove the importance if signing a Swaps contract by taking Gibson Greetings as an example. In the Derivatives transaction market, the remarkable loss results mainly from law risk. Therefore, a set of complete swap contract is extremely required for those who deal with Derivatives. The sign of Master Agreements aims to lower risk so that there is a law to govern the sue cases of investments.
