thesis studies the managerial mechanisms that facilitate the
process of technology transfer. More specifically,
these managerial mechanisms take into consideration the
standpoints of the technology suppliers and the technology
demanders and deal with a series of crucial issues in
negotiation and transaction, which also vary with different
patterns of technology. The theoretical discussion of
this thesis centers on the important dimensions of
negotiation and transaction, based on which the guiding
principles of using negotiation techniques to solve
transaction problems are developed mainly for the
technology demanders with relatively weaker bargaining
power. Concerning negotiation, this thesis considers
the generic framework, strategy and process and focuses on
some major items in a typical technology transfer
contract: technology definitions, licensing, fees,
warranties, and so on. As regards technology patterns,
patent, know-how, technical assistance, trademark, and
franchise are all with different characteristics and legal
issues. The actions on both side of technology transfer should
accordingly be also different. To illustrate a feasible
application of the managerial principles, this thesis
includes in the final part a brief case on Taiwan''s first
experience of transferring silicon wafer production from
abroad.
